Order Genie Terms of Use

Welcome to Order Genie! Please read the following Terms of Use (“Terms”) carefully before using any of our products or services. These Terms form a binding agreement between you and Order Genie (“we,” “us,” or “our”) and govern your use of the Order Genie System and related services (collectively, the “Order Genie Products”).

By accessing or using any Order Genie Products, you agree to be bound by these Terms. If you are using these services on behalf of an entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree with these Terms, you may not use our services.

1. Term of Agreement

This Agreement begins upon your acceptance and continues month-to-month unless terminated. You may cancel with 30 days’ written notice. New users receive a 30-day free trial, during which either party may cancel by notifying the other in writing before the 30th day.

2. Acceptance of Terms

Your continued use of Order Genie Products constitutes your agreement to these Terms. If you use the Products on behalf of a business or organization, you confirm you are authorized to accept these Terms on its behalf.

3. Changes to Terms

We may update these Terms at any time. If we make material changes, we will post an updated version on our website. Continued use after changes are posted means you accept the updated Terms.

4. User Accounts

To use Order Genie, you must create a master user account (“Master Account”). Only one Master Account is allowed per business. You are responsible for all activity under your account and must notify us of any unauthorized use. You may allow employees or agents to use your account, but you remain responsible for all use and payments.

5. The Order Genie System

The Order Genie System is a web-based platform that helps users achieve savings by comparing prices from third-party suppliers. A portion of those savings is shared with us as a Savings Capture Fee. No software download is required. The system is provided “as is” without warranties of any kind.

6. Site Data

We rely on third-party suppliers and user-provided agreements for product descriptions and pricing. We do not guarantee accuracy, availability, or completeness. You grant us a worldwide, transferable license to use your supplier pricing agreements to operate the platform.

7. Data Storage and Privacy

Your data (e.g., order history, pricing, account details) is stored securely using Google Drive. We follow industry-standard protections but cannot guarantee absolute security. Use of your data is also governed by Google’s Privacy Policy. We comply with applicable U.S. privacy laws, including the California Consumer Privacy Act (CCPA).

8. Restrictions on Use

You may not resell or transfer your access to the Order Genie Products. We may terminate your access at any time, for any reason, at our sole discretion.

9. Order Cancellation

Order Genie cannot cancel submitted orders. All cancellations must be handled directly with the relevant third-party supplier, subject to their terms and conditions.

10. Prices and Payment Terms

A. Pricing & Product Information

Prices are based on your agreements with third-party suppliers and may not reflect shipping, taxes, or other fees. We strive for accuracy but do not control supplier pricing or availability. You are responsible for verifying all details before placing an order.

B. Payment Terms

Payments must be made directly to the third-party supplier in accordance with their terms.

C. Savings Capture Fee

You will be charged a fee based on savings realized through the platform. Details of this fee are available in your user account.

11. Shipment and Delivery

Suppliers are responsible for product delivery. We are not liable for delays or missed deliveries. You agree to hold us harmless for any issues arising from shipping or delivery.

12. Disclaimer

Order Genie Products are provided “as is” without warranties of any kind. We do not guarantee error-free operation, availability, or accuracy of data. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, including loss of profits or data. Your sole remedy is repair or replacement of the affected goods or services, subject to supplier terms.

14. Indemnification

You agree to indemnify and hold harmless Order Genie and its affiliates against any claims arising from (i) goods ordered via our system, (ii) content you provide, or (iii) your breach of these Terms.

15. Governing Law

These Terms are governed by the laws of the State of California. All disputes shall be resolved in the state or federal courts of Los Angeles, CA. Both parties waive the right to a jury trial.

16. Dispute Resolution

Disputes not resolved through negotiation will be submitted to binding arbitration under the California Arbitration Act, administered by JAMS in Los Angeles County. The prevailing party may recover reasonable attorney’s fees and costs.

17. Severability

If any provision of these Terms is deemed unlawful or unenforceable, the remainder shall remain in effect. Terms may be accepted electronically and do not require a physical signature.

18. Acknowledgment

By using this website, you acknowledge and agree that:

• Order Genie is an information platform displaying supplier pricing.
• You are responsible for verifying all product and pricing details.
• We are not a party to your agreements with suppliers.
• You remain fully liable for compliance with your supplier agreements.
